			<content:encoded><![CDATA[<p>The transformation from a rugged hilltop to a state-of-the-art winemaking facility is already underway. In October 2005, <a id="more-6"></a> a road was cut - leading to the top of the hill. In May 2006, Bacchus Caves began excavating. Their efforts will continue through 2007. By that time, the utilities and other critical systems are expected to be in place, as well as final building and design work, and then a grand opening before harvest. </p>
<p>Custom Crush, LP will cater to a small group of virtual wineries seeking to produce premium wine. Our staff will create and barrel wine per each label’s formula. Once the wine has been placed in barrels, it will be stored in the cave for 18 months. Initially, each label will pay Custom Crush $40 per case (over an 18 month production run) to process their grapes. After reaching maturity, the wines will be bottled and/or removed from the premises to make way for the next harvest.</p>
<p>Custom Crush will offer a retail sales outlet through an on-site tasting room. This will provide critical assistance in building each wine label’s brand. It will also generate additional revenues from wine tasting fees and 35% margins on the sale of wine.</p>
<p>Due to our premium location in Napa Valley, Custom Crush will plant a vineyard on a portion of our 10 acre site. The vineyard will enhance the look and feel of Custom Crush for potential tasting room visitors. The vineyard will also yield up to 1500 cases of wine per year. Custom Crush investors will be given the opportunity to receive a complementary pro-rata share of our estate grown wine every year it is produced. Excess wine will be sold in our tasting room.

Each year in the major winemaking regions of America, there are more grapes than space available to crush, <a id="more-14"></a> ferment and store them. This issue is most evident in Napa Valley and Sonoma County where dozens of small vineyards and wine labels are born annually. Custom Crush was created to meet the demand of those boutique wine labels by developing a premiere production facility in Napa Valley. This is a revolutionary concept in the wine industry - one that benefits the wine labels and makes Custom Crush an integral part of their success.</p>
<p>Custom Crush, LP has negotiated a very attractive 99 year lease on a ten acre parcel of land in the heart of Napa Valley. The lease was written such that Custom Crush has the right to purchase the property - based on a fair market value appraisal - at any time during the lease period. The property is located on a hilltop between Silverado Trail and Soda Canyon Road, overlooking the City of Napa. Custom Crush has contracted with Bacchus caves, the leading cave contractor in Napa Valley, to design and build a 16,000 square foot cave in the mountain where our winery will be housed. Upon completion, the new facility will process approximately 200 tons of grapes annually - the equivalent of 13,000 cases of wine. This will provide several boutique labels with a state-of-the-art winemaking facility and a small, highly trained winemaking staff. Custom Crush will also provide critical assistance in building each wine label’s brand, and provide a retail sales outlet through an on-site tasting room. Production runs for the boutique wineries will range between 1000 and 6000 cases per year. Initially, each label will pay Custom Crush $40 per case (over an 18 month production run) to process their grapes. The cost-per-case fees will be re-evaluated and adjusted every year. Additional revenues will come from barrel storage fees, wine tasting fees paid by visitors and a minimum 35% margin on the sale of wine sold through the tasting room. </p>

			<content:encoded><![CDATA[<p>Market Poised for Growth - According to year-end figures recently released <a id="more-13"></a>by wine industry consultant Jon Fredrikson in the Gomberg-Fredrikson Report, California wine shipments to the U.S. market reached a record high of 417 million gallons in 2004 - a 4% increase over the previous year. The Wine Institute estimates the retail value of the California’s wine shipments to the U.S. in 2004, at $14.3 billion, a 2.3% increase over 2003. California winery shipments to all markets in the U.S. and abroad increased 6% to 494 million gallons.</p>
<p>“Despite intense competition, there has been a steady long-term growth curve for California wine sales. Since 1990, per capita spending has increased from $12 to $33 per adult. In the last three years, the number of regular wine drinkers has increased by six million adults, and the wine market is poised for growth,” said wine business analyst Vic Motto of MKF Group LLP in St. Helena.</p>
<p>There are over 1800 commercial wine labels in the United Sates, a number which has tripled in the last 20 years. California is home to more than 1000 labels, 600 of which are located in the “Wine Country,” of Napa and Sonoma Counties. Approximately 300 wine country labels are traditional brick and mortar wineries, while almost 290 wine labels are “Virtual” wineries – wine growers that have no grape-crushing facilities. Over 50% of the commercial wine labels in the United States sell less than 5,000 cases of wine per year, while the top 25 wine producers ship 90% of California’s wine to markets around the world. </p>

Custom Crush has already signed custom crush agreements with Ahnfeldt Cellars (2,000 cases), Waugh Cellars (3,000 cases), Falcor Cellars (6,000 cases), and Phipps Cellars (1,000 cases). Based on a projected annual capacity of 13,000 cases, Custom Crush is virtually “sold out” despite the fact that construction on the facility has yet to begin. </p>
<p>•	Napa Valley surpassed Disneyland as the number one tourist attraction in California, drawing 6 to 8 million visitors last year. Custom Crush will expand our relationships with top restaurants, hotels &#038; resorts, limousine companies and other prestigious wineries in the region. <p><b>Ryan Waugh - Winemaker</b></p>
<p>Ryan Waugh was born in 1976, the same year California wines created a world wide buzz by beating France’s top Bordeaux and Burgundy producers in the famous Paris blind taste test. Eighteen years later, Ryan was enrolled in the pre-med program at Santa Clara University. As fate would have it, Ryan was offered a glass of the now legendary 1976 Stag’s Leap Cabernet Sauvignon. The experience immediately directed him to explore that mythical place known simply as Napa. Eleven harvests and three continents later, Ryan is producing world class wines under his own label, Waugh Cellars, which produces 2000 cases a year from the greatest vineyards in Napa Valley and Sonoma County. Ryan is currently building a home in Yountville, California.</p>

<p><b>Chris Hoskins – Real Estate Investor/Developer</b></p>
<p>Chris Hoskins was born in Orange County, California in 1966. In 1985, as a freshman at Cal State Fullerton, Chris acquired his first property - a six unit apartment building in Fullerton, California. Over the following five years Chris became an expert at acquiring distressed properties, renovating them, and turning them into profit centers. During the early 1990’s, Chris took advantage of the Savings &#038; Loan debacle by acquiring, renovating, developing and managing hundreds of apartments. Today he is co-founder and managing member of American Properties, LLC, a $20 million real estate acquisition/development company. Current projects include developments in California and Texas. Chris is also the founder of HeRO (The Hunger Relief Organization), a non-profit charity committed to ending world hunger by coordinating the efforts of other like-minded organizations. Chris lives in Newport Beach, California with his wife Michelle, and their sons Jon and Michael.</p>
